Non-US Accreditation

Parallel Markets can accredit citizens of many countries, though our accreditation abilities are limited in some ways by SEC rules and guidelines. Additionally, the SEC’s safe harbor for Regulation D offerings only extends to US tax forms. Any accreditation verification based on non-US tax forms will not result in safe harbor protection for a Reg D offering (partners may want rely on an exemption under Regulation S for offerings involving non-US taxpayers). Note - we will only review documentation that is presented in the English language, subject to certain exceptions on a case-by-case basis. Please make sure any documentation is translated to English prior to our review to avoid delays or rejections in processing the application.

Country Limitations

Due to SEC rules and guidelines, we can only accredit citizens of countries that impose similar penalties for falsely reported information as the United States when evaluating total income or net worth statements originating from outside of the US. For instance, we can rely on bank statements from a US bank as evidence of a person’s accreditation via a net worth test regardless of the individual’s nationality. The below list is for directional purposes only and provides guidance as to the countries in which we may be able to provide our services and the tests we may support. Please note that non-US verifications are conducted on a case-by-case basis.
